Business Description
Scimitar Security Limited (Scimitar) a UK registered limited
company provides training and consultancy services to clients.
General
These terms and conditions which supersede all previous
conditions, shall apply to all trade between Scimitar and
the Client unless otherwise agreed in writing by Scimitar.
Payment
Unless the sale is for cash accounts are due for payment
within 7 days of invoice.
Scimitar reserves the right to refuse to execute any order
or contract if the arrangements for payment or the Client’s
credit are not satisfactory to Scimitar.
In the case where there shall be any default or refusal
on the part of the customer to take due delivery of any
goods or in the case of death, incapacity, bankruptcy or
insolvency or liquidation of the Client services invoiced
and/or delivered shall become due and payable from the Client
to Scimitar. In addition Scimitar has the right to cancel
every contract with the customer or to suspend or continue
delivery of services without prejudice to the right of Scimitar
to recover any loss sustained.
Interest at the rate of 5% over the Bank of England base
rate shall accrue in the respect of all sums not paid by
the date on which they are due.
In the event of a query over an invoice or part thereof
the Client cannot withhold payment of the undisputed amounts.
If a cheque received from the Client is not paid on first
presentation then a charge of £25.00 will be made
to the Client to compensate for the bank charges and administration
involved.
Scimitar Training Course Conditions
Any booking made by a Client for a training course shall
be deemed an offer. If the offer is accepted, the Client
will receive a confirmation by email and a contract is established
with Scimitar.
Whilst Scimitar will endeavour to hold any booked courses
as stated it is recognised that some may have to be cancelled
for a variety of reasons. In this event, the Client will
be notified by email of the cancellation at the earliest
possible opportunity and an alternative or full refund will
be offered. Scimitar will not be held liable for any expenses
incurred by the Client or their personnel howsoever caused.
Clients who cancel will be offered a full refund if the
place(s) can be taken by another.
Clients will be invoiced upon booking
Liability
Except in respect of death or personal injury resulting
from our negligence, Scimitar shall not be liable, in contract,
tort (including negligence), or otherwise for any loss of
profit, business, contracts, revenues or anticipated savings
or any special, indirect, or consequential damages of any
nature whatsoever
Governing Law
These terms and conditions shall be read and interpreted
in accordance with the laws of England and Wales.
Any disputes shall be subject to the laws of England and
Wales.
Title
Title to any goods, materials and any intellectual property
rights in any associated contracts will only pass to the
Client, where agreed, on full.
Confidentiality
Any confidential information disclosed by the Client will
not be disclosed to any 3rd parties without the prior agreement
of the Client.
The Client must not disclose any confidential information
disclosed by Scimitar to any 3rd parties without prior agreement
of Scimitar.
